Consultancy Applicants - Terms & Conditions of Business
Please ensure that you read & are happy to agree to, all of the Terms & Conditions, before progressing to the Application Form, as by completing the application you automatically accept these.
For the purpose of this document we will refer to The Solutions Company as TSC
General Terms & Conditions
1. Each individual project’s Terms & Conditions will be detailed in a ‘Work Briefing’ document, stating project start date, end date and reporting requirements.
2. The applicant agrees to provide services to TSC.
3. The applicant agrees to provide the services in a professional manner.
4. The applicant will have complete flexibility to control the hours worked within the project duration.
5. The applicant does not have the permission to use a substitute, delegate or assistant to perform the services without the prior agreement of TSC. The applicant is solely responsible for ensuring Key Performance Indicators are met and arranging payment.
6. All equipment and working space will be provided by the applicant.
7. Computer faults are the applicant's own responsibility therefore we recommend regular saving of data. In the event of data loss TSC will be able to provide a copy of the last file submitted by the applicant.
8. Defective work by the applicant will be corrected by the applicant in their own time.
9. The applicant is not entitled to any form of holiday, bank holiday, sickness or special absence pay.
10. Once a ‘Work Briefing’ has been agreed, the applicant may not terminate provision of services until the project is completed. The applicant is free to undertake other contracts for service before, after or concurrently.
11. Applicants are responsible for bearing all cost i.e. telephone, equipment, accounting services, premises.
12. The applicant is responsible for their own accounting, Tax and National Insurance.
Work Proposal Standard Terms
1. Full call fee is payable for 3 viable attempts (minimum) providing alternative days & times are tried and reported.
2. Call fee is fully inclusive of all BT costs - for directory enquires use the free BT Online service.
3. Unobtainable telephone numbers are not accounted as a call. In this case the applicant is expected to look up the correct number.
4. Reports must be submitted weekly at close of business each Friday unless otherwise stated.
5. Invoices to be raised monthly or on project completion - applicant’s preference.
6. Payment can be made via cheque or BACS. The applicant will state preferred payment method on invoices - account number, name and sort code needs to be included for BACS payments.
7. Targets and costs per call will be stated on the Work Proposal.
8. Data will be provided in a Microsoft Office format unless otherwise stated.
9. Key Performance Indicators (KPI’s) will be used to assess quality of services provided. These generally are:- Sales Lead Quality, Quality of information gathered, Targets achieved, deadlines met and data input standards.
Confidentiality & Non Disclosure
1. All parties shall take every reasonable steps to maintain as confidential any information provided by the other whether written or spoken, and whether or not stated to be confidential.
2. Each party shall respect the intellectual property and all other rights of the other party & will use Information exclusively for the purpose of the project undertaken, unless otherwise agreed.
3. Each party shall disclose Information only to those to whom disclosure is agreed necessary for the performance of the project.
4. Each party shall take necessary precautions to ensure that information is not copied nor used without the prior consent of the other party.
5. The above undertakings of confidentiality shall not apply to any part of the information which is either:
1. Is the public domain at the time of disclosure by any party;
2. Subsequently enters the public domain through no fault of either party.
